Terms and Conditions
1. Who “Legion” Means
Whenever we say “Legion,” we mean our company, all its sister and subsidiary companies, and anyone working for us (employees, agents, or subcontractors) in your country.
2. These Are the Rules We Work By
Any work we do for you is governed by these terms, whether we signed a contract or not. Unless we both agree in writing otherwise, these terms are our entire agreement. No one at Legion; agent, employee, or representative can change these rules unless it’s in writing.
Definitions
3. What We Mean by “Goods,” “Excluded Goods,”, Conveyable Goods” and “Consignment Note”.
a. Goods: The items you list on our consignment note or online portal.
b. Excluded Goods: Dangerous or illegal items (e.g., explosives, toxic substances, precious metals, currency, human remains, firearms, offensive-smelling items, pornographic materials, etc.). We also can’t insure against damage for fragile items (like glass or ceramics), perishable goods (like live plants or foodstuffs), liquids of any kind or items that are too heavy / bulky for our normal conveyor systems, insurance against loss is still included.
c. Conveyable Goods: Items that fit our conveyor systems without special handling. Anything too big or heavy is classified as “Out of Gauge” or “Over Maximum Limits,” and may attract handling surcharges, we’ll let you know in advance what the limits are.
d. Consignment Note: Our official shipping document (paper or digital). It records all the shipment details, and what’s written on it is assumed true. Even if we accept your goods before the paperwork is done, these terms still apply. If a recipient signs without noting damage or missing date/time, we assume delivery was timely and in good condition.
4. When We’re Not at Fault
We’re not responsible for delays or failures caused by things beyond our control including; strikes, lack of permits, war, extreme weather, vehicle breakdowns, accidents, etc.
5. Using Subcontractors
We may hire partners or other carriers to handle any part of your shipment.
6. Shipper and Customer Are the Same
If you send a shipment, you and the “Customer” are one and the same.
7. No Live Animals Without Permission
We don’t transport living creatures unless we’ve agreed in writing beforehand.
8. Delivery Promise
We’ll deliver your goods as quickly as reasonably possible to the address on your consignment note.
9. We’re Not a Common Carrier
We only transport goods under these terms and can refuse any shipment or type of goods at our discretion.
10. Choosing Routes and Methods
We offer a managed service and decide the best route, carriers, and handling methods for each shipment on your behalf.
11. Our Liability for Your Goods
While your goods are with us, we’re responsible for loss or damage subject to agreed limits (see points 21 and 22). We’re not liable for any indirect or financial losses, and we can’t guarantee exact delivery times.
12. Right to Hold Your Goods
If you withhold payment we can hold onto your goods until you pay all transport charges, duties, and other costs. In the end if you don’t pay, we may sell the goods to cover what you owe.
13. Your Data and Our Use of It
We own any commercial data you provide on our forms or systems (like names, addresses, shipment details). We can use it to bill you or prevent fraud. We comply with data protection laws (GDPR/Data Protection Act) and you agree we can use your data for credit checks.
14. Taxes and Surcharges
Quoted rates exclude VAT, import taxes and customs duties (unless stated). Any fuel surcharges will be clearly listed. Quotes are valid until we withdraw or revise them.
15. Right to Inspect
We may inspect your goods (X-ray, search, etc.) to ensure they meet legal and safety requirements. We can’t guarantee a shipment won’t break any laws if it travels through multiple countries.
16. Charging by Size
Sometimes shipping charges aren’t just based on how much your parcel weighs but how much space it takes up. This is called ‘volumetric’ or ‘cubic’ weight and it’s standard across the delivery industry. Here’s how it’s calculated ; Height (cm) x Width (cm) x Depth (cm) ÷ 5,000 = Volumetric / Cubic Weight (Kg). For oddly shaped items (like rolls or tubes) measure them as if they were in a box, this keeps the calculation fair and consistent. In some cases, usually down to the overall length of your parcels, a handling surcharge may also be applied. We’ll always give you reasonable notice if these rules change.
17. Accurate Descriptions
You guarantee that your description of the goods is correct. If it isn’t, you’ll cover any claims or costs we incur, and we may abandon the shipment.
18. Authority to Accept Terms
You confirm you have the authority to accept these terms on behalf of your company and anyone else with an interest in the shipment.
19. Proper Packing Is Your Responsibility
Where possible we do inspect the fitness of your packaging prior to onward travel from our premises and will intervene if we become aware of a packaging problem. Intervention could mean; re-sealing packages with tape or other materials like pallet wrap, palletising your goods if necessary or holding your goods if we are unable to make a package safe to travel. We aim to notify you whenever possible by phone or email on the day of despatch if an intervention is required, particularly if there are implications to costs or transit times. Ultimately, it is your responsibility to pack your items securely for normal handling, we aren’t liable for damage caused by poor packing. You also indemnify us for penalties if your goods are held by customs or other authorities due to inadequate packaging.
20. Accurate Address Details Are Your Responsibility
Where possible we do check the accuracy of your delivery addresses prior to onward travel from our premises and will intervene if we become aware of an issue with an address. Intervention could mean; adjusting the postcode or zip code, adding a What 3 Words location, adding key information that aids the delivery driver locate an address such as construction site signage . We aim to notify you whenever possible by phone or email on the day of despatch if an intervention is required, particularly if there are implications to costs or transit times. Ultimately, you have the responsibility to provide an accurate delivery address and relevant recipient company and /or contact name. We aren’t responsible for delays due to inaccurate or missing address details. You also indemnify us for penalties if your goods are held by customs or other authorities due to inaccurate or missing address and / or contact details.
21. Our Default Liability for Goods In Transit
If you don’t buy additional insurance, our maximum liability is the lowest of;
a. £10 per kilogram weight of the goods lost or damaged,
b. The actual repair / replacement cost of the goods lost or damaged
c. 60% of your sales invoice value for the goods lost or damaged (if repair / replacement cost isn’t known).
We exclude certain goods from cover (see point 3), and we don’t cover indirect losses. Any proceeds from salvage of your goods belongs to us if we pay a claim to you.
22. Optional Insurance for Goods In Transit
If you request and pay the premium, we’ll insure your shipment (up to £10,000 per consignment) and act as your agent for that insurance.
23. Making Optional Insurance Requests
You can only request optional insurance before shipping, not afterwards.
24. Claim Requests
We cannot guarantee to issue a Claim if the recipient of your goods has omitted to notify on the Proof of Delivery that the goods appear to be damaged. Unchecked, or similar clauses, as well as any delay in notifying us of damage also affects our ability to issue a Claim due to the possibility of damage occurring after delivery. The maximum timeframe for the notification of Claims to us is within 7 days of collection or 3 working days of delivery (whichever is longer).
25. Claims and Payments
We only pay claims once you’ve settled all shipping charges. You can’t offset claims against shipping charges. The value of goods is based on replacement cost at the time of shipment.
26. Undeclared Excluded Goods
If you send excluded items without telling us, you’ll indemnify us for any losses, and we may abandon the shipment.
27. Payment Terms
All invoices are in GBP and due under the credit terms we’ve agreed (as per your quote or agreement). This includes any duties or taxes.
28. Data Protection Consent
To manage your account and prevent fraud, we may perform credit checks and share info with credit agencies (who may share it further). You consent to this and can request details of the agencies we use. We may transfer personal data outside the UK but remain responsible for its protection.
29. Updating These Terms
We may change these terms at any time by updating them on our website. Changes take effect immediately, so please check our site regularly.
30. Legal Jurisdiction
Any disputes under these terms are subject to the exclusive jurisdiction of the courts of England & Wales.
